Shiprocket Limited (“SHIPROCKET” or “we” or “our”) (previously known as Shiprocket Private Limited and originally known as Bigfoot Retail Solutions Private Limited) is a Limited Company incorporated under the provisions of Companies Act, 1956 having its registered office at Plot No. B, Khasra-360, Sultanpur, M.G. Road, New Delhi-110030, offering logistics management services under the brand name ‘Shiprocket’.

SHIPROCKET is Engaged in the business of providing logistics management services/solutions through its website https://www.shiprocket.in/, mobile application and other online and offline platforms (“SHIPROCKET Services”).

SHIPROCKET has developed a tool/product named as “Shiprocket Engage360” for the merchants listed/registered with SHIPROCKET/on the Shiprocket platform (“Merchant” or “you” or “your”) in order to provide various additional services for minimizing the RTO (return to origin) orders and timely update of the shipments (“Shiprocket Engage360 Services”).

These terms and conditions (“T&Cs”) shall govern use of the Shiprocket Engage360 Services by the Merchants. Accordingly, please read these T&Cs carefully before accessing or using the Shiprocket Engage360 Services. If you do not agree to these T&Cs, you shall not use the Shiprocket Engage360 Services. By clicking the accept/agree button, you signify your unconditional acceptance to these T&Cs and other Shiprocket policies (as framed by Shiprocket from time to time).

Introduction

  • Shiprocket Engage360 is a tool/product developed by SHIPROCKET for its Merchant. The services of Shiprocket Engage360 will be offered to the Merchants, in the sole discretion of SHIPROCKET.

  • The main purpose of Shiprocket Engage is to minimize the RTO deliveries, personalise marketing communication, automate customer support and to ensure timely updates of the orders/shipments to the customers.

Components of Shiprocket Engage60

There are four major components of Shiprocket Engage360 Services which are as follows:

  • RTO Suite: An AI-Powered two way communication tool which helps Merchants to identify the following:

    • RTO Prediction

    • Order confirmation

    • Address verification

    • COD to prepaid conversion

    • Real-time branded tracking updates

  • Marketing tool: An intelligent two way communication tool to increase brand loyalty.

    • Personalised remarketing messages

    • Offers and promotions broadcast

    • Predefined message templates

  • Commerce tool: A whatsApp commerce tool to boost your online sales.

    • Automated chat journeys

    • Product catalogue

    • Product recommendations

  • Care tool: An NLP based chat bot solution for customer support automation.

    • Automated chatbot

    • Automatic ticket creation

    • WISMO query redressal

    • Returns-related communication

  • Payment gateway integration with our payment facilitating partner PAYU Money (if required)

Note: The prime source of communication will be WhatsApp only, in case WhatsApp is not accessible then we will push IVR for the Merchants. SHIPROCKET does not provide messaging services and payment services, hence shall not be liable and responsible in relation to the same. The same shall be provided by third party entities.

Discounts/Coupons/Offers in relation to convert the COD orders to pre-paid orders

  • Merchant may, in its sole discretion, provide discounts to any or all end customers as per its internal policies, in order to convert the orders/shipments of the end customer from COD orders to pre-paid orders.

  • All aspects pertaining to the aforesaid discounts shall be decided by Merchant solely.

  • SHIPROCKET does not provide discounts/coupons/offers to Merchant and its customers, hence shall not be liable and responsible in relation to the same.

COD order to Pre-paid Orders

  • Merchant may provide the discount/offer to its customer to convert the order/shipment from COD order to prepaid order before the delivery of the order/shipment.

  • The above offer/discount will be sent to the end customers along with the payment link integrated with third party i.e. PAYU Money.

  • In case the Merchant does not have any payment gateway then SHIPROCKET will integrate the payment gateway through payment facilitating partner (“PAYU Money”) and link the account of the Merchant with the same.

  • In case the Merchant pays the amount through such link then such amount will be directly remit to the account provided by the Merchant at the time of integration with PAYU Money.

  • The Merchant agrees that in addition to these terms and conditions, the terms and conditions of the concerned payment facilitating partner (PAYU Money being the payment facilitating partner as on date), as amended from time to time, shall applicable on Merchant

WhatsApp API Terms and Condition

The following are the terms and conditions of the WhatsApp API integration which is applicable on Merchant:

  • The mobile number for WhatsApp integration will be provided by the Merchant only.

  • Once the mobile number used for WhatsApp API integration, such mobile number can’t be used for any other type of WhatsApp product (such as WhatsApp mobile/ WhatsApp business).

  • The mobile number will be registered by the Merchant. However, SHIPROCKET will register the Merchant’s number with third party integration partner (“Kalerya”) for WhatsApp API services.

  • Once the registration process will be finished with Kalerya, the registration ownership with Kalerya shall be automatically transferred to SHIPROCKET, and Merchant shall not, in any case ask/take the ownership of such registration with Kalerya.

  • In case WhatsApp deactivate the account of the Merchant due to their internal policies or the polices mentioned on their website, in such cases SHIPROCKET shall not be responsible.

  • The Merchant agrees that in addition to these terms and conditions, the terms and conditions of the WhatsApp API Integration as provided on its website (www.whatsapp.com/legal/business-policy), as amended from time to time, shall applicable on Merchant.

Third Party Content

  • You acknowledge that when you access a link that leaves the platform, the site you will enter into is not controlled by us and different terms of use and privacy policy may apply. By assessing links to other sites, you acknowledge that we are not responsible for those sites. We reserve the right to disable links to and / or from third-party sites to the Platform, although we are under no obligation to do so.

SHIPROCKET’s Limited Liability

  • SHIPROCKET does not provide or make any representation, warranty or guaranty, express or implied, about SHIPROCKET Services and/or SHIPROCKET Engage360 Services, and to the fullest extent permitted by law disclaims all liability arising out of the Merchant’s use or reliance upon the same.

  • In addition to other limitations and exclusions in these T&Cs, in no event shall SHIPROCKET, its directors, officers, employees, agents or other representatives be liable for any direct, indirect, special, incidental, consequential, or punitive damages, or any other damages of any kind, arising out of or related to SHIPROCKET Services and/or SHIPROCKET Engage360 Services.

  • SHIPROCKET shall not be liable to the Merchants for any product(s) or service(s) provided by the Merchant to its customer, or any liability in relation thereto. All claims pertaining to the same shall be made directly against the Merchant.

  • SHIPROCKET accepts no liability for any error, omission, breach or non-performance, whether on behalf of itself or third parties

  • In case of complaints from the customers of the Merchants pertaining to efficacy, quality or other such issues, SHIPROCKET shall notify the Merchant. The Merchant shall be liable for redressing customer’s complaints.

  • In addition to the above terms, the terms and conditions of the third parties (WhatsApp and PAYU Money) shall also be applicable in relation to the transactions specified in these T&Cs.

Privacy / Data Protection

  • In the process of providing the services of Shiprocket Engage360 Services, SHIPROCKET may collect certain personally identifiable information about the end customer of the Merchant such as name, email address, mobile phone number, address and contact details. SHIPROCKET is committed to protect the personal information of the Merchant and to take all reasonable precautions for maintaining confidentiality of the Merchant’s personal information.

  • SHIPROCKET has adopted reasonable security practices and procedures that are commensurate with the information assets being protected and with the nature of our business and to include, technical, operational, managerial and physical security control measures so as to protect the personal information in its possession from loss,misuse and unauthorized access, disclosure, alteration and destruction.

  • In this regard, SHIPROCKET has framed a privacy policy (“Privacy Policy”) which applies to the users of SHIPROCKET Services and/or SHIPROCKET Engage360 Services, and is available on https://www.shiprocket.in/privacy-policy/.

  • Further, the various information/documents shared by you pursuant to Shiprocket Engage360 Services shall be subject to the terms and conditions of privacy policy, as updated from time to time.

  • You hereby give consent to SHIPROCKET to collect/share/store the copies of the KYC Documents (including the information contained in such documents) as submitted by you, with third party acting on behalf of SHIPROCKET for completing KYC verification as required under applicable laws and update your records wherever required including but not limited to verify the data/information/documents provided by you and for any other purpose as consented by you.

  • In case the documents/information/data provided by you do not comply with the SHIPROCKET policy and/or relevant guidelines due to any reason whatsoever, your request for using Shiprocket Engage360 Services may be rejected.

MISCELLANEOUS:
  • Limited Sub-License: SHIPROCKET grants you a limited sub-license to access and make personal use of SHIPROCKET Engage360 Services and not to modify it, or any portion of it, except with express written consent of SHIPROCKET. This license does not include any resale or commercial use of SHIPROCKET Engage360 Services or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of SHIPROCKET Engage360 Services or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools. SHIPROCKET Engage360 Services or any portion thereof shall not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of SHIPROCKET.

  • Indemnification: You agree to defend, indemnify and hold harmless SHIPROCKET, its employees, directors, officers, agents and their successors and assigns from and against any and all claims, liabilities, damages, losses, costs and expenses, including attorney’s fees, which may result in any loss, damage or liability to SHIPROCKET or to any third party, on account of (including but not limited to) breach of any warranties, representations or undertakings, or in relation to the nonfulfillment of any of your obligations under these T&Cs, or arising out of your violation of any applicable laws, regulations.

  • Electronic Record: This document is an electronic record in terms of Information Technology Act, 2000 and the rules made thereunder, as applicable and as amended from time to time.

  • Modification: SHIPROCKET reserves the right to modify or change these T&Cs and other SHIPROCKET policies at any time by posting changes on SHIPROCKET website/app, and you shall be liable to update yourself of such changes. Your continued usage of the services after any change is posted constitutes your acceptance of the amended T&Cs/policies.

  • Termination: SHIPROCKET may terminate this agreement / T&Cs at any time and may do so immediately without notice, and accordingly deny you access to SHIPROCKET Services and/or SHIPROCKET Engage360 Services. Any such termination will be without any liability to SHIPROCKET.

  • Severability: If any of the provisions of these T&Cs should be determined to be illegal, invalid or otherwise unenforceable by reason of the laws of any state or country in which these T&Cs are intended to be effective, then to the extent and within the jurisdiction where that term is illegal, invalid or unenforceable, it shall be severed and deleted and the remaining T&Cs shall survive, remain in full force and effect and continue to be binding and enforceable.

  • Governing Law and Jurisdiction: Without prejudice to the above, these terms and conditions shall be construed in accordance with the applicable laws of India, and the Courts at Delhi shall have exclusive jurisdiction in any proceedings arising out of these terms and conditions/between SHIPROCKET and the Merchant.

PRICING:
Pricing shall consist of 2 Components: Monthly Platform Fees + Per Order price for the Modules being used by You as visible on the Merchant Panel.

Furthermore, The platform fee will be applicable irrespective of usage until your website channel or Instagram account is successfully connected.

If you are not using the platform and wish to disable the platform fee, please write to us at [email protected] with your Shiprocket Company ID. Our team will review and respond within 24–48 working hours.

Note: This applies only to the Marketing, Chatbot, and Instagram Chatbot modules. There will be no impact on the RTO Suite module.
